Position Summary:

Reporting to Director, Legal Services, the Paralegal performs primarily, but not limited to: (1) paralegal support for M&A activities, including due diligence and post-closing integration support (2) paralegal support for Corporate support functions including Privacy, Corporate Secretary and Export Control and (3) paralegal support for operational, transactional, litigation and regulatory requirements of the Legal Services staff.
Location: Can be based in Chicago, IL or Dulles, VA 
 



Required Education & Experience:

  • Bachelor’s degree from an accredited university or college
  • Must have 5+ years’ experience working for a corporation or law firm as a corporate paralegal
  • A paralegal certificate from an ABA-certified program
  • Strong legal research skills including Westlaw, and the Internet are a must
  • Must have exemplary organizational skills, ability to work independently, multitask, manage numerous tasks efficiently and accurately, prioritize, and set/meet deadlines
  • Excellent computer skills are required, including MS Word, Excel, PowerPoint, Adobe Acrobat, MS Teams, and Sharepoint
  • Ability to maintain confidentiality
  • Notary public in Virginia is preferred
  • Demonstrable interest or skill in understanding contract provisions and risk allocation with excellent analytical abilities
  • Must be detailed oriented, passionate, intellectually curious, agile, and confident
  • Strong research, analytical, writing and communication skills
  • Practical, business-minded approach to solving legal issues
  • Excellent organizational skills to balance multiple priorities, deadlines and critical assignments that may require short-notice deliverables
  • Demonstrated ability to work with others and be a “team player”
  • Experience in Export Control, Data Privacy, and Corporate Secretary preferred
 



Responsibilities:

  • Support the Export Control and Data Privacy functions by conducting research on applicable laws and regulatory requirements, preparing, and organizing documentation in accordance with internal procedures and processes
  • Assist with Board matters, maintaining minutes, and organizing files in relation to all Board and Corporate Secretary matters
  • Conduct legal research to provide guidance on contract compliance and legal/regulatory requirements
  • Work with the legal services team to prepare, draft, review, and revise various types of documents and agreements necessary to further business activities, including:
  • Customer master product and services agreements and statements of work
  • Confidentiality agreements
  • Vendor (services) agreements, including IT, Finance, and HR-related agreements
  • Consulting and professional services agreements
  • Letters of intent, term sheets, and memoranda of understanding
  • Procurement contracts, including distribution, purchasing and supply agreements
