Corporate Paralegal

The Corporate Paralegal will report directly to the General Counsel of OW North America (“Ocean Winds”), and will provide support to other members of the legal and business teams as required, managing the organization of legal matters and documentation relating to OW NA’s projects and operations.
MAIN ACOUNTABILITIES
·       Assist the team with maintaining the database of legal documents of OW NA and its affiliates
·       Draft and file documents for the formation of new entities
·       Maintain corporate books and records to meet corporate compliance requirements
·       Draft and file reports with state Secretaries of State for corporate entities
·       Draft corporate resolutions and other documents necessary to support business
·       Work closely with OW NA’s affiliates, as necessary, responding to corporate inquiries and providing required documentation such as Secretary Certificates, Powers of Attorney, Certificates of Good Standing and other documents as needed
·       Maintain records of license requirements for each legal entity
·       Track renewals and periodic reporting of OW NA’s legal entities, and monitors to ensure accurate reporting and timely completion of required deadlines related to reports
·       Perform assigned substantive legal work, including initial reviews of NDAs
·       Prepare drafts of documents including non-disclosure agreements, services agreements, work orders, change orders, and other project-related agreements
·       Perform initial review of agreements received from third parties and assists counsel with their completion and execution
·       Carefully follow instructions and proofread work before sending to internal or external parties
·       Assist with requests for proposals (RFPs) and other procurement processes
·       Maintain awareness of incoming work requests and contracts, their status, and need for follow-up by legal counsel
·       Maintain spreadsheet for tracking incoming work requests and contracts for legal Counsel and provides reports of tracking information as requested
·       Facilitate execution of documents by appropriate parties in accordance with specified delegations of authority
·       Provide administrative assistance with document preparation, file maintenance, and updating of the legal document forms library
·       Assist with processing of legal invoices

Minimum qualifications:
  • Bachelor’s degree in a related field
  • 5+ years of experience as a paralegal in the energy, corporate, or finance area of a law firm or performing in-house legal services in a corporate environment
  • Paralegal certificate preferred
  • Proficient knowledge of Microsoft Office, DocuSign, and Adobe Acrobat software
  • This role requires the ability and willingness to operate independently and take initiative in a dynamic and growing environment with minimal supervision.

  • Safety: Ability to understand and communicate safety precautions when necessary
