Experienced Investment Banking Associate, Capital Advisory (Equity Focus - Chicago, IL) (R2021427)

We deliver customized financing solutions across the entire capital structure for institutional clients in the United States and Europe. Our debt product capabilities include asset-based, 1st & 2nd lien, unitranche, mezzanine, high-yield and other structured debt instruments. Our equity product capabilities include highly structured equity and equity-linked securities for private issuers, PIPEs, secondary private equity solutions and SPACs. We assist clients with growth, acquisition and project financings, refinancings and recapitalizations, strategic partnerships and joint ventures, lender negotiations and sell-side lender education processes. Our deep sector expertise enables us to optimally position companies within a sector, advise clients through complex situations and deliver financing solutions that support our clients’ long-term strategic objectives. We possess strong relationships with a variety of lenders and investors, including universal banks, non-bank/credit funds, private equity, hedge funds, family offices and alternative capital providers, creating competitive processes that optimize pricing, terms, speed and certainty. 

As an Associate in the Equity Capital Advisory team, you will:
  • Be a central and critical member of Baird's Capital Advisory team
  • Lead the execution of structured equity and equity-linked transactions, including preparing and reviewing company marketing documents and financial models, managing marketing and investor due diligence processes, analyzing financing alternatives, term sheets, preparing client and Board presentations and negotiating documentation
  • Manage and mentor junior bankers on deal teams and within the Capital Advisory Group
  • Assist senior bankers in the business development effort with prospective corporate and private equity clients
  • Cultivate and optimize relationships with financing providers, including private equity, venture capital, credit and hedge funds, family offices, and other alternative investors

What we look for: 
  • Entrepreneurial and partnership mindset with interest in building a new product and team on the Baird platform 
  • Superior intellect, demonstrated leadership ability, attention to detail, ability to work in teams and a commitment to excellence and mentoring junior bankers
  • Experience in analyzing capital structure and structured equity and equity-linked securities, and an ability to lead the execution of key aspects of structured equity financing transactions.  Any leveraged finance, M&A and/or buy-side experience will be a plus 
  • Excellent client relationship skills and an ability to learn in a fast-paced, challenging environment
  • Investment banking deal execution and business development experience
  • Interest in developing relationships with investors. Existing relationships are a plus
  • At least 3 years of relevant experience
  • MBA or JD degree preferred
  • Series 63 & 79 licensing preferred
